Shadow AI: What It Is and How to Handle It Before Your CISO Finds Out

Employees using unapproved AI tools at work is not a future problem. It is happening right now, on your team, today. Here is what to do about it.

What Is Shadow AI?

Shadow AI is the use of AI tools, models, or AI-powered workflows by employees without formal approval, oversight, or security review from IT or security teams. It is the AI version of shadow IT, but with a critical difference: the data exposure is worse.

Shadow AI includes:

  • Pasting sensitive text into public AI chatbots like the free tier of ChatGPT
  • Using unapproved AI browser extensions that can read page content
  • Connecting personal AI accounts to work email or calendar
  • Installing AI-powered plugins in work tools without IT review
  • Using personal devices to run company data through AI tools

The key distinction: using AI at work is not the problem. Using it outside IT-approved channels is. That difference determines whether company data stays protected or ends up on a third-party server with no retrieval mechanism.

Why Shadow AI Is Exploding

Shadow AI is not a character flaw. It is a systems failure. Employees turn to unapproved tools for entirely rational reasons:

  • Approved tools are slow to arrive. IT procurement cycles take weeks or months. A free ChatGPT account takes 30 seconds. When the gap between "approved" and "available" is that wide, people choose available.
  • Free tools are right there. ChatGPT, Claude, Gemini, and dozens of AI assistants are one browser tab away. No purchase order. No manager approval. No IT ticket. The friction to start using unapproved AI is near zero.
  • The productivity gains are real. People are not using shadow AI tools for fun. They are using them because these tools save hours per week on drafting, summarizing, analyzing, and organizing. The value is tangible, which makes the behavior self-reinforcing.
  • Policies are unclear or nonexistent. Many companies still have no AI usage policy. When employees do not know the rules, they make their own. And their rules tend to be: "if it helps me do my job, it is fine."
  • Nobody is watching (they think). Unlike installing unauthorized software, using a web-based AI tool does not trigger a standard IT alert. Research from Invicti found that 77% of employees paste data into generative AI prompts, with 82% of those interactions coming from unmanaged personal accounts outside any enterprise oversight. This is not a fringe behavior. It is the norm.

The Real Risks

Shadow AI risks are not theoretical. They are specific, measurable, and in some cases, already causing incidents.

Data Leakage

Every prompt sent to a third-party AI model is data leaving the corporate environment. Unless the tool has been vetted and approved, there is no control over how that data is stored, whether it is used for model training, or how long it is retained. Consumer-tier AI tools explicitly state in their terms that inputs may be used to improve models. That means proprietary data, customer information, and internal strategy could theoretically surface in another user's session.

Intellectual Property Exposure

When employees paste source code, product roadmaps, or customer data into unapproved AI tools, that information may be incorporated into model training. It becomes potentially accessible to other users or competitors. The organization may have no legal recourse because the employee agreed to the tool's terms of service when they signed up with their personal email.

Compliance Violations

GDPR, CCPA, HIPAA, SOX. Most regulatory frameworks require organizations to control where sensitive data goes. Sending personally identifiable information to an unapproved AI tool is a data transfer to a third-party processor without proper agreements. That is a compliance violation, regardless of the employee's intent. And "the employee did it on their own" is not a defensible position for the organization.

Governance Gaps

Security teams cannot enforce policies on tools they do not know exist. Legal teams cannot review data handling terms for services nobody reported adopting. Traditional cybersecurity frameworks like NIST CSF and ISO 27001 were not designed with AI-specific data flows in mind, which means existing monitoring tools may not catch these exposures.

Real-world example: The Samsung incident. In 2023, Samsung semiconductor engineers pasted proprietary source code into ChatGPT on three separate occasions. One employee asked it to fix buggy code from a semiconductor database. Another requested code optimization. A third fed meeting notes through an AI transcription tool and into ChatGPT. Samsung's internal memo stated: "As soon as content is entered into ChatGPT, data is transmitted and stored to an external server, making it impossible for the company to retrieve it." Samsung initially banned ChatGPT, then had to develop its own internal AI solution. The engineers were senior officials. The leaks were not malicious. They were the result of normal people trying to do their jobs faster with the best tools available.

What Managers Should Do

Banning AI tools does not work. Samsung tried it. Amazon tried it. JPMorgan, Bank of America, Citigroup, Deutsche Bank, Wells Fargo, and Goldman Sachs all restricted ChatGPT. The pattern is consistent: bans push usage underground and onto personal devices, where the organization has even less visibility.

The better approach is controlled enablement. Here is how:

  1. Acknowledge the problem exists. Assume your team is already using unapproved AI tools. Studies show the overwhelming majority of employees are. Do not start with blame. Start with a conversation.
  2. Provide approved alternatives that are actually useful. If the approved tool is worse than the free alternative, employees will use the free alternative. Invest in enterprise-tier AI tools (ChatGPT Enterprise, Claude for Work, etc.) that provide the same productivity benefits with proper data protection.
  3. Create clear, specific guidelines. "Use AI responsibly" is not a policy. Specify: which tools are approved, what types of data can be entered, what data classifications are off-limits, and what the review process is for AI-generated output.   4. Make the rules easy to follow. If the compliant path takes 15 more steps than the non-compliant path, compliance will lose. Reduce friction for approved tools. Pre-install them. Pre-configure accounts. Make the right thing the easy thing.
  5. Build a feedback loop. Let employees request new AI tools. Commit to evaluating requests within a specific timeframe. When people see that the approval process works and responds quickly, they are less likely to go around it.

What Employees Should Do

Even without a formal policy, employees carry responsibility for how they handle company data. These are practical steps:

  2. Know the data classification. Before pasting anything into an AI tool, ask: is this data public, internal, confidential, or restricted? If it is anything above public, stop and think about whether the tool is approved for that classification level.
  3. Use enterprise accounts, not personal ones. Enterprise versions of AI tools have data protection agreements. Free personal accounts typically do not. If the company is paying for an enterprise AI license, use that instead of the free version.
  4. Sanitize before you paste. Strip identifying details, replace real names with placeholders, and remove confidential numbers. Two minutes of redaction eliminates most of the risk.
  5. Raise the issue proactively. If the approved tools are not meeting your needs, say so. Propose specific alternatives with clear use cases. This is much better than being discovered using an unauthorized tool after a data incident.

  • Assume employees are not using AI already

  • Report any accidental data exposure immediately
  • Keep a record of which AI tools you use and why

How to Have the Conversation with IT

Approaching IT about AI tools does not need to be adversarial. Frame it as a business need, not a technology request. Here is a template:

Subject: AI Tool Request for [Team/Department] Hi [IT Contact], Our team has been exploring AI tools to improve [specific task: drafting, analysis, summarization, etc.]. We believe [specific tool] could save approximately [X hours/week] across the team. Before we use anything, we want to make sure it meets our security and compliance requirements. Could we schedule 15 minutes to discuss: 1. Whether this tool (or an alternative) is on the approved list 2. What data classification levels are appropriate 3. Whether enterprise licensing is available We want to do this the right way. Appreciate your help. [Your name]

This approach works because it shows awareness of the risks, proposes a specific solution, and respects IT's role. Most IT teams would rather approve a tool proactively than discover unauthorized usage after an incident.

The Organizational Cost of Ignoring Shadow AI

Companies that ignore shadow AI are not avoiding risk. They are accumulating it. Here is what builds up over time:

  • Legal exposure. Once sensitive data enters an unapproved system, the organization may be liable under GDPR, CCPA, or industry-specific regulations. Fines can reach millions. In 2026, the EU AI Act takes full effect for high-risk systems, adding another layer of enforcement.
  • Audit failures. When auditors ask where data flows, "we do not know" is a material finding. Shadow AI creates data flows that bypass every tracking mechanism in the organization.
